Ipseita Labs Digital Acumen Services – Terms and Conditions

When you register for Digital Acumen Services, which may occur as a part of a purchase, you are agreeing to these terms and conditions. Please read them carefully.

Definitions

The following definitions apply, whether used in the singular or plural and regardless of whether capitalised or not or whether a particular font or style has been used.

Ipseita Labs is a trading name of division of Ipseita Limited, a company whose liability is limited by shares. The company was registered in England in November 2017. Its company number is 11041919.

Ipseita is Ipseita Limited, including Ipseita Labs. Throughout this document “we” or “us” or “our” means Ipseita.

Digital Acumen Services are those free and paid-for services offered by Ipseita to assist individuals to develop their own digital acumen. These services include courses and various types of virtual meetings, which are offered online via a website, primarily via the Digital Acumen website https://digitalacumen.tech/

LMS is an abbreviation for Learning Management System that describes those aspects of the Ipseita-provided website through which online facilities for Digital Acumen Services are provided.

Individuals or Users are natural persons who are registered for access to our Digital Acumen Services that are restricted by a login and password. Throughout this document “you” or “your” means a user.

Sponsors are persons from organisations or persons who purchase and coordinate the use of Digital Acumen Services on behalf of other persons, for example employees, with whom they have a bona fide relationship at the time or registration that has been stipulated to Ipseita.

Clients or Paying Users are either Sponsors or Individuals who have access to Digital Acumen Services that are usually paid-for.

Payments are monies received from Clients on behalf of paying users which will be facilitated, for example, payment information supplied to Ipseita.

Payment Information is information that is used for arranging payments such as credit card details or bank transfer details.

Digital Acumen Partners are business entities that work closely with Ipseita to promote Digital Acumen Services to their communities or customers or work us to develop, extend and maintain the Digital Acumen offering.

Applicable law is the set of laws governing this agreement, which are the laws of England and Wales.

Purpose of Document

This document specifies the terms and conditions governing the provision of Digital Acumen Services to Users.

To use Digital Acumen Services, you must be able to be bound legally in your jurisdiction, assert that you are able to be bound legally, and agree to be bound by these terms and conditions. If you decline or are unable to accept these terms and conditions you may not have access to Digital Acumen Services. If you agree to be bound by the terms and conditions but subsequently break from them, or become unable to be bound by them, you must stop using the Digital Acumen Services and Ipseita Labs has the right to de-register you by preventing your access to Digital Acumen Services.

Effective Date

These terms and conditions apply from 00:01 am on 22 March 2021 and remain in force until superseded.

Revision of Terms and Conditions

These terms and conditions may be revised from time to time. When revised and published on any Ipseita website, they will supersede the current terms and conditions and the effective date will be the date on which they have been so published. When a revision is to be made Ipseita will endeavour to communicate the changes to Users in advance.

Access and Systems Requirements

Ipseita aims to provide Users access to its LMS website on an always-on basis, only limiting access for short periods of planned downtime needed to carry out maintenance or updates but makes no warranty for the availability of the LMS.

Access to virtual meetings will be by arrangements made though the LMS. These may vary or change at short notice due to unforeseen circumstances.

The website and its systems are designed for use on desktop or laptop computers using modern Windows, Mac and Linux operating systems and modern web browsers with good Internet connections. (They may not work well with old versions of Windows or Internet Explorer.) They may work in a limited fashion on mobile devices, but no guarantees can be made in this respect of this.

User Accounts and Access

Users may only access Digital Acumen Services by registering with Ipseita Labs for a user account. Access to specific Digital Acumen Services, such as courses with full use of the LMS and its resources, are restricted to paying users. A user account contains at least the following information which Ipseita requires to be able to provide Digital Acumen Services. Ipseita treats such information as confidential.

  • The name and email address of a user.
  • The postal address and/or mobile phone number of the user if needed for security or legal requirements.
  • Information needed for payments, such as the postal address of a paying user or sponsor that is needed for effecting payment.
  • The services that the user is entitled to use.
  • Information about if and when a client has made a payment for the user and if and when the user has used Digital Acumen Services.

The information held in a User account is for use by Ipseita only according to our Privacy Policy (https://digitalacumen.tech/privacy-policy/).

Individual Account Registration

Registration requires the provision of an individual’s name and email address via the website https://digitalacumen.tech/. The process includes confirmation of permission to be contacted and acceptance of these terms and conditions. As part of the process of registration you will be sent emails to validate the information provided. It is your responsibility to ensure that this information is maintained accurate and up to date.

A registered user must not share their login details with others to access Digital Acumen Services or for any other purpose.

An individual must not register on behalf of another nor provide another person’s details to Ipseita as if to register them unless an an agreement has been made with a Sponsor to provide them on the basis of these terms.

Sponsor Account Registration

If you are a User resulting from registration by a Sponsor you may not share your account with any other person, including fellow employees or others created by of a sponsoring company.

If a Paying User’s account was originally created by a payment from a sponsor, it becomes owned by the User and it is their responsibility to maintain it. Such a User can purchase services without reference to a Sponsor and can continue to use paid-for services if their relationship with a Sponsor has terminated

If a User’s relationship with a Sponsor has terminated these terms and conditions will continue to apply.

De-registering

Users who break these terms and conditions, or who breach policies for conduct in virtual meetings, or who are suspected of fraudulent or illegal activities may be de-registered by their accounts and access to Digital Acumen Services being removed without compensation or refunds at our sole discretion.

User Created information

Users are provided with facilities to assist them to organise their learning, such as with setting and reviewing goals, taking and editing notes and arranging attendance in virtual meetings.  Information needed by such study facilities will be stored by Ipseita and will be considered confidential and, subject to the applicable law, will not be shared. Users should avoid recording information they consider confidential or sensitive. While held securely, this information is not obfuscated, and Ipseita Labs support staff may be able to see what a user has written.

Account Maintenance

Users agree to accept responsibility for any and all of their activities or actions that relate to their account. Users must notify Ipseita immediately upon becoming aware of any breach of security or unauthorized use of their account.

Users must maintain the correctness of the information held in their account

By creating an account on our LMS, you agree that we may send you emails to do with administration processes including those about your purchases or important emails about your use of Digital Acumen Services. You furthermore agree that we may send you emails to do with marketing or sales-related materials and other promotional information. From these, you may opt out. You may not opt-out of receiving emails to do with administration processes.

Free and Paid Courses

Digital Acumen Services include access to content and courses created exclusively by Ipseita Labs and Digital Acumen Partners and designed to be studied over a period chosen by the user.

The courses vary in form as well as content, but they often include one or more video-based presentations created by Ipseita Labs. These will be added to and modified from time to time.

In addition, sets of curated learning resources are provided with short comments and links to the resources provided by others in the public domain. Users accept that Ipseita has no control of such resources and from time to time may delete or replace descriptions of them or links to them.

Prices and Payments

Prices for Digital Acumen Services vary from time to time, without notice.  Ipseita will not give refunds in whole or in part due to the variation of prices.

Purchases made via credit or debit card will be executed by a third-party PCI compliant payment processor service selected by Ipseita. The payment processor will require the usual information required by card operator, including at least the following: your name, i.e. the name on your card, the card number, its expiration date, a security code printed on the card, and your billing address, i.e. the address registered with the card. The payment processor shall only use such data to process your purchase and payment information will not be retained by us.

Once a payment has been initiated with the payment processor, we have no way to cancel the payment.

By paying for Digital Acumen Services with a credit or debit card, you stipulate and warrant both that you have the legal right and authority to make such a payment and the that the information you supply to our payment processor is true, correct and complete.

Users may purchase unlimited access to courses on a single-payment basis. Access to other services, such as virtual meetings, may be time specific. Pricing and payment arrangements for recurrent events will be on a weekly, monthly, quarterly, or annual basis, as appropriate.

Cancellations

We reserve the right to refuse a purchase at any time for reasons including at least the following: unavailability of a service, errors in the description or price of the service, an error in your purchase, suspicion of fraud or of an illegal action according to the applicable law.

We reserve the right to terminate or suspend subscriptions to subscription services at our sole discretion.

Refunds

Because of the nature of Digital Acumen Services, Ipseita cannot offer refunds. If a refund is allowed, it shall not set a precedent and any refund amount shall be at our sole discretion.

If Ipseita or its payment processor or other systems directly used by Ipseita makes an error with a payment or cancels a purchase for reasons not caused by the User, we will make a full refund or offer alternative Digital Acumen Services, at the User’s discretion. In this event, the time taken for a user to receive a refund is usually 30–60 days depending on the payment process being used.

If a payment for Digital Acumen Services is made by a Sponsor then any refund may only be made by the Sponsor.

Virtual Meetings

Ipseita Labs offers virtual meetings of various sorts. These may include regular “Office Hours” meetings or webinar-style meetings with Ipseita personnel or guests. Participation in virtual meetings is subject to the applicable law and Ipseita’s discretion, which will not be unreasonably applied.  Users may be expelled from virtual meetings and/or barred from future virtual meetings if their behaviour in the meeting is deemed to be unacceptable to the host/moderator of the meeting.

Content Quality

Ipseita Labs endeavours to provide high-quality content describing digital technology and digital content in a variety of business or organisational settings, and in society more generally. We use our best efforts to ensure the truth and accuracy of what is provided and in our comments regarding specific digital technology and content. We put special effort into areas where blog or magazine articles, and early textbooks have provided incorrect or superseded information about technology. However, it is not possible to validate or justify every source of information we utilise, especially in fields which are new, contended and fast-changing. Users are welcome to query content or make suggestions via the website for Digital Acumen Services and our team will try to respond in a reasonable timescale and make clarifications or corrections available to users.

No representations or warranties are made with respect to the accuracy or completeness of the content of this content, including any links to other sites and material. All information presented in Digital Acumen Services is provided ‘as is’, without warranty of any kind, expressed or implied.

Liability Limits

Ipseita offers Digital Acumen Services solely for the purpose of users personally developing Ipseita’s model of digital acumen for themselves and accepts no labilities for how users may use information provided by Ipseita. None of the content, courses, virtual meetings, curated resources or other elements of Digital Acumen Services are provided as guidance, advice, or recommendations to any user or client or third party.  Digital Acumen Services are for educational purposes only. In particular they do not offer financial advice or recommendations for any specific tools, technologies or techniques.

Any ideas, opinions, views, predictions, forecasts, commentaries, suggestions, including speculative trading suggestions, expressed or implied by Digital Acumen Services are for informational and educational purposes only and should not be construed as personal investment advice or selection recommendations. We will not and cannot be held liable for any actions you take as a result of anything you read, hear or view in Digital Acumen Services. The presenters, producers and providers of Digital Acumen Services are not qualified or licensed investment advisors. You should conduct your own due diligence or consult a licensed financial advisor or broker before making any and all investment decisions. Any investments, trades, speculations, or decisions made on the basis of any information found in this material, expressed or implied herein, are committed at your own risk, financial or otherwise.

Ipseita accepts no liabilities resulting from the unavailability of its Digital Acumen Services.

Copyright and Intellectual Property

Digital Acumen Services include content devised, written and produced by Ipseita Labs. Ipseita permits users to access and use its content, for personal development of digital acumen.  The provision of access to Digital Acumen resources does not confer ownership on the User of the resources or license their further use.

The content of these courses, such as course presentations, descriptions of curated resources, and material presented in virtual meetings, is the intellectual property and copyright of Ipseita Limited and must not be copied by the user by any means, for any purposes – including personal off-line study and sharing. Any user who has copied or attempted to copy Ipseita content in part or as a while will be deregistered, and their account deleted. Ipseita reserves the right to take legal action against any user attempting to copy Ipseita content.

Privacy Policy

Privacy is important to Ipseita and its divisions. Our digital acumen website https://digitalacumen.tech/ adheres to the Ipseita Privacy Policy (https://digitalacumen.tech/privacy-policy/). We do not sell users’ personal data.

Digital Acumen Partners

Ipseita Labs works with Digital Acumen Partners whose own terms and conditions shall not affect the interpretation of these terms and conditions.

Feedback

Constructive feedback on Digital Acumen Services is always welcome. If your email or otherwise communicate any type of comments, suggestions, ideas or questions, you grant Ipseita permission to use what you have written for any purpose, such as for sales and marketing, without compensation, attribution or acknowledgement

Trademarks

Ipseita acknowledges the registered and applied-for trademarks of others.

Communications

The normal form of communication shall be by email. If a response is required from a user and none is received, Ipseita may write to the postal address recorded in the user’s account.

Users must keep the email and postal addresses in the account up to date.

Dispute Resolution

If any dispute, difference or controversy arises out of or in connection with this agreement, authorised representatives of Ipseita and a paying user or client or their representative shall conduct a virtual meeting to resolve the dispute arranged with 15 days notification.

Mediation. If such matter is not resolved in that meeting, those in dispute shall attempt to settle it by mediation in accordance with the Model Mediation Procedure of the Centre for Effective Dispute Resolution (“CEDR”) according its processes.

None of those in dispute may commence any arbitration in relation to any dispute, arising out of this agreement until it has attempted to settle such matter by mediation and either the mediation has been terminated or the other Party has failed to participate in the mediation, provided that the right to issue proceedings is not prejudiced by a delay. If any such dispute, difference of controversy is not settled by mediation within 30 (thirty) days of the commencement of the mediation, the dispute shall be referred to and finally resolved by binding arbitration under the rules of the London Court of International Arbitration (the “LCIA Rules”).
